Board Announces Settlement with Third Point LLC

SUNNYVALE, Calif. — Yahoo! Inc. today announced that the Board of Directors has named Fred Amoroso as Chairman of the Board of Directors and Ross Levinsohn as interim Chief Executive Officer, effective immediately. The Company also announced that its Board has reached an agreement with Third Point LLC (“Third Point”) to settle its pending proxy contest related to the Company’s 2012 annual meeting of shareholders. SUNNYVALE, Calif. — Yahoo! Inc., the premier digital media company, today released the following shareholder update from its Chairman Roy Bostock.

I write today to update you on the actions the Yahoo! board has taken, and the actions it is pursuing, to increase shareholder value and position the Company for growth.
